1. Agreement to Terms

By accessing or using the Simplify Commerce website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services. These terms apply to all visitors, users, and clients of Simplify Commerce.

2. Services

Simplify Commerce provides end-to-end marketing services including, but not limited to, brand strategy, web design and development, social media management, paid media, search engine optimisation, and analytics. The specific scope, deliverables, and terms for each engagement will be outlined in a separate service agreement or statement of work between Simplify Commerce and the client.

3. Intellectual Property

All content on the Simplify Commerce website — including text, graphics, logos, images, and code — is the property of Simplify Commerce or its licensors and is protected by intellectual property laws.

For client work, intellectual property ownership and usage rights will be defined in the applicable service agreement. Unless otherwise agreed in writing, final deliverables become the property of the client upon full payment, while Simplify Commerce retains ownership of proprietary tools, processes, and methodologies used during the engagement.

4. Client Responsibilities

As a client, you agree to:

• Provide accurate and timely information, materials, and feedback as reasonably required for us to deliver services
• Ensure that all materials you provide to us do not infringe on any third-party rights
• Make payments in accordance with the terms outlined in your service agreement
• Comply with all applicable laws and regulations in connection with your use of our services

5. Payment Terms

Payment terms, including fees, billing cycles, and payment methods, will be specified in the applicable service agreement. Unless otherwise stated, invoices are due within 14 days of issue. Late payments may incur additional charges as outlined in the service agreement. Simplify Commerce reserves the right to suspend services for overdue accounts.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes, but is not limited to, business strategies, campaign data, analytics, and financial information. Confidentiality obligations survive the termination of the service agreement.

7. Limitation of Liability

To the maximum extent permitted by law, Simplify Commerce shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services or website. Our total liability for any claim shall not exceed the fees paid by you for the specific services giving rise to the claim.

8. Disclaimers

While we strive to deliver exceptional results, Simplify Commerce does not guarantee specific outcomes, rankings, traffic, or revenue figures. Marketing results depend on numerous factors beyond our control, including market conditions, competitor activity, and client cooperation. Our website and services are provided “as is” without warranties of any kind, express or implied.

9. Termination

Either party may terminate a service engagement as outlined in the applicable service agreement. Simplify Commerce reserves the right to terminate or suspend access to our website or services at any time, without prior notice, for conduct that we believe violates these terms or is harmful to other users or our business interests.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising from these terms or related services shall be subject to the exclusive jurisdiction of the courts of Singapore.

11. Changes to These Terms

We reserve the right to update or modify these Terms of Service at any time. Changes will be posted on this page with an updated revision date. Your continued use of our website or services after such changes constitutes acceptance of the updated terms.
